Order of precedence: if there is a conflict among documents for the same customer account, the more specific signed or negotiated terms control over these public Terms for that conflict.
Paid activation, checkout terms, order forms and negotiated agreements may add account-specific commercial terms where applicable.
Each user must maintain secure and unique credentials. Workspaces must be governed by a responsible workspace administrator.
You are responsible for all activity under your account, including workspace configuration, user access, message approvals and third-party integration settings.
You may use the Service only for authorized business or professional purposes, subject to the applicable order form, plan limits and written agreement.
Pricing and plan features are described on the Pricing page or in the applicable order form. Paid plan contracting is coordinated through Verbum sales and legal review.
Starter includes a 5-day trial request where offered. Submitting a trial request does not create a paid subscription or start paid billing. Pro and Business are paid plans. Enterprise is handled through qualified evaluation and the applicable written agreement.
If approved, the Starter trial begins when workspace access is activated, not when the request form is submitted. After the trial, the customer can choose whether to activate a paid Starter subscription.

Plan amount, billing cycle, applicable taxes, provider fees and activation steps are confirmed before payment or production use.
Channel, delivery, telephony, messaging, AI model or third-party provider fees may be charged separately by the relevant provider when applicable, unless otherwise stated in the applicable plan, checkout flow, order form or written agreement.
Verbum may provide AI-assisted features, including message drafts, summaries, routing assistance, workflow suggestions and automated actions configured by the customer.
AI outputs may be incomplete, incorrect or unsuitable for a specific customer, legal, regulatory or business context. Verbum does not guarantee perfect AI output.
Verbum does not use customer business messages to train public AI models unless explicitly stated and contractually allowed.
Customer message content is processed to provide configured AI-assisted drafting, routing, review and Verbum Automate workflows.
Customer message content is not used to train public or general-purpose AI models unless explicitly stated and contractually allowed.
Fine-tuning or training on customer message content requires explicit written authorization in the applicable agreement.
AI subprocessors may process prompts, message context and outputs only to provide the configured service, subject to applicable provider terms and approved customer configuration.
Retention of prompts, outputs and related workflow context follows the applicable workspace settings, plan terms, provider configuration, DPA, order form or written agreement.
Customers remain responsible for configuring approval rules, reviewing sensitive outputs and deciding when Verbum Assist or Verbum Automate workflows should be used for their channels, users and message types.
Customers are responsible for reviewing sensitive, legal, financial, medical, regulated or high-risk messages where applicable, and for ensuring AI-assisted messaging is suitable for their business and legal obligations.
Verbum Assist workflows are designed for human-reviewed drafts. In Verbum Assist mode, AI-generated content is presented for review, editing and approval before the message is sent.
Verbum Automate workflows may perform actions only within configured rules, permissions and guardrails. Customers choose the appropriate mode, set internal policies and ensure users follow applicable approval requirements.
Customers are responsible for configuring, testing and monitoring Verbum Automate rules, preserving required approvals and ensuring automated flows match internal policies, channel requirements and applicable obligations.
Verbum Automate availability, behavior and limits depend on workspace configuration, user permissions, connected channels, plan capabilities, provider constraints and approved guardrails.
Verbum may record workflow metadata such as drafts, edits, approvals, automation events, sends, timestamps, channels, routing context and user actions to support governance, security review and accountability.
Audit history is intended to help customers review how messages moved through configured workflows. It does not replace customer recordkeeping, regulatory retention, legal compliance or professional review obligations.
Retention, export, access and review options for audit records may depend on plan capabilities, workspace configuration, written agreement and applicable law.
You retain ownership of customer content and data provided or generated through the Service. Verbum processes it only to provide the Service as agreed.
You remain responsible for legal basis, consent handling, recipient permissions and governance around AI usage and outbound content.
Privacy, Data Processing Overview, subprocessors and cookie documentation are provided separately so customer legal, privacy and security teams can review the applicable data protection context.
You agree to use Verbum lawfully and ethically, including obtaining required recipient permissions and respecting all external service policies.
Prohibited uses include spam, abuse, content policy violations, deceptive automation, credential misuse, unlawful surveillance, attempts to bypass security controls or use that violates applicable law or provider policies.
CRM/help desk connector paths are eligible from Pro through guided onboarding. Webhooks/API hooks are available from Pro through private beta or guided onboarding and approved workspace scope. REST API and custom system integration paths start on Business through guided technical onboarding, subject to approved scope and applicable plan terms.
Third-party channel providers, payment providers, messaging providers, authentication providers, integration providers, CRM/help desk systems and AI providers may have independent terms, policies, fees, account requirements, credential requirements and availability constraints.
Verbum is not responsible for outages, policy changes, fees, rate limits or service restrictions originating outside Verbum-controlled infrastructure, except as described in the applicable agreement.
Customers are responsible for maintaining their third-party accounts, credentials, permissions, provider configuration, provider fees and compliance with third-party channel or integration policies where applicable.
Some features, including REST API, custom developer integrations, beta channels or roadmap capabilities, may be offered as beta, private beta or guided onboarding features where included in the applicable plan or agreed in writing.
These features may be limited, modified, unavailable to some plans, paused, discontinued or subject to additional technical, security or onboarding review.
Beta, private beta, coming soon, planned or roadmap channels and integrations should not be treated as generally available, self-service or committed for a specific release date unless stated in an applicable written agreement.
Where offered, channels such as Telegram may require beta access, guided setup, provider approval or additional onboarding before use.
Verbum maintains security and privacy review materials, including privacy documentation, security control materials and protected evidence materials for qualified review.
Compliance materials support customer review and do not create a guarantee of compliance for every customer use case. Customers remain responsible for their own regulatory obligations and configurations.
Certain materials are made available to qualified teams during security, procurement and legal review under confidentiality requirements or an applicable NDA.
Verbum aims for dependable operations, but uninterrupted service is not guaranteed unless an applicable written agreement expressly provides a service level commitment.
Planned maintenance, operational incidents, provider changes, external channel limits and security work can affect availability or functionality.
Verbum may change, discontinue or expand features and integrations with reasonable communication where feasible, subject to the applicable order form or written agreement.
Each party is expected to preserve non-public information disclosed during evaluations, onboarding, support, procurement and legal review.
Security reports, procurement materials, implementation details and non-public product information may be subject to additional confidentiality terms or an NDA.
Verbum and its marks, code, brand, and platform interfaces remain Verbum property unless expressly stated otherwise.
Customer-generated content, brand assets, and internal templates remain owned by the customer or their licensors.
The Service is provided 'as is' and 'as available' as permitted by law. Some functionality may be constrained by plan level or external dependencies.
Verbum does not provide legal, regulatory or professional advice, and AI-assisted outputs should not be treated as a substitute for customer review or professional judgment.
Liability, termination and dispute-process terms are handled through coordinated legal review for paid plans.

As permitted by applicable law and subject to the applicable agreement, you are responsible for claims arising from your unlawful use of the Service, customer content, unauthorized messaging, provider policy violations or configurations that you control.
Any indemnification obligation, defense process or limitation is subject to the applicable order form, written agreement and mandatory legal requirements.
Verbum may suspend or terminate access for material violations, security incidents, non-payment, provider restrictions or legal requirements, subject to the applicable agreement.
Pro, Business and Enterprise cases may include additional written terms for SSO/SAML, procurement review, data residency assessment, rollout planning, custom capacity or dedicated implementation depending on the plan and applicable agreement.
We may update this document to reflect product, operational, legal or regulatory changes. Material updates will be communicated where required by applicable law or contract.
Continued use of the service after updates may be subject to the updated Terms, as permitted by applicable law and customer agreements.
